27. Governing Law and Jurisdiction
· These Terms of Use are governed by and construed in accordance with the laws of India. Any disputes arising from these ToU will be subject to the exclusive jurisdiction of the courts located in Mumbai, Maharashtra, India. Any controversy or claim arising out of or related to these Terms of Use shall be governed by Indian law.
· Any dispute, controversy, or claim arising out of or relating to these ToU, including its formation, validity, interpretation, breach, or termination, shall first be sought to be resolved amicably through good-faith negotiations between the parties. If such dispute is not resolved amicably within thirty (30) days, it shall be referred to and finally resolved by arbitration under the Arbitration and Conciliation Act, 1996, conducted by a sole arbitrator appointed mutually by the parties. The seat and venue of arbitration shall be Mumbai, Maharashtra, India, and the language of arbitration shall be English. The arbitral award shall be final and binding on the parties. Nothing in this clause shall prevent either party from seeking interim or urgent injunctive relief from a court of competent jurisdiction in Mumbai.
(Trio Corp Note: Added an arbitration clause (Arbitration and Conciliation Act, 1996) as a faster, private alternative to court litigation, which is now standard in Indian ToU/consumer contracts. Please confirm this is acceptable, or advise if you would prefer courts-only jurisdiction (no arbitration).
28. Termination
Where reasonably practicable, termination or suspension will be proportionate to the relevant breach or risk; this does not prevent immediate action where necessary to protect users, the Services, security or legal compliance.
Medi Study Go reserves the right to terminate or suspend your access to the Services, in whole or in part, with or without notice, for any reason, including, but not limited to:
(a) Violation of Terms: Any violation of these Terms of Use, policies or agreements.
(b) Unlawful Activity: Any unlawful or illegal activity conducted through or in connection with the Services.
(c) Account Misrepresentation: Providing false or inaccurate information in connection with your account.
(d) Fraudulent Activities: Engaging in any fraudulent or deceptive activities.
(e) Spamming or Unsolicited Content: Sending spam messages or repeatedly posting irrelevant or unsolicited content.
(f) Impersonation: Impersonating another user or misrepresenting your affiliation with any person or entity.

(b) You will remain liable for any outstanding fees or charges incurred prior to termination;

While we take reasonable measures for data backup and business continuity, you are solely responsible for maintaining backup copies of any information, content, or materials you submit or create using the Services. This includes, but is not limited to, notes, assignments, project files, and any other user-generated content. To ensure the quality and performance of our Services, we may, from time to time, suspend access to the Website or any part of the Services. These suspensions may be necessary for:
(i) System maintenance, upgrades, and technical improvements.
(ii) Content updates and enhancements.
(iii) Addressing technical issues or security vulnerabilities.
(iv) Implementing new features or functionalities.
(v) Any other reason deemed necessary by Medi Study Go to maintain the integrity and functionality of the Services.

However, we cannot guarantee uninterrupted access to the Services and will not be liable for any losses or damages, including loss of data, access, or progress, arising from any suspension or interruption of the Services, whether planned or unplanned.

· The Grievance Officer shall acknowledge receipt of any complaint within forty-eight (48) hours and shall endeavour to redress the complaint within one (1) month from the date of its receipt, or within such shorter timelines as may be prescribed under applicable law. The Company has also designated a Nodal Officer, being a resident Indian, for twenty-four (24) hour coordination with law enforcement agencies, whose details are available on request at the contact details set out above.
31. Force Majeure
Neither party shall be liable for any failure or delay in performing its obligations under these ToU to the extent such failure or delay results from any cause beyond its reasonable control, including acts of God, fire, flood, earthquake, pandemic or epidemic, war, terrorism, riots, strikes or labour disputes, governmental action, internet or telecommunications failures, or failure of third-party service providers or payment gateways (a “Force Majeure Event”). Performance of the affected obligations shall be suspended for the duration of the Force Majeure Event, and the affected party shall use reasonable efforts to mitigate its effects and resume performance as soon as reasonably practicable.
32. Assignment
You may not assign, transfer, or sub-license any of your rights or obligations under these ToU without the Company’s prior written consent. The Company may assign, transfer, or delegate its rights and obligations under these ToU, in whole or in part, to any affiliate, successor, or third party, including in connection with a merger, acquisition, corporate restructuring, or sale of assets, without your consent. These ToU shall be binding upon and inure to the benefit of the parties’ respective successors and permitted assigns.

Any notice required or permitted to be given under these ToU shall be in writing and shall be deemed duly given: (a) to the Company, upon receipt at support@medistudygo.com or at the registered office address set out in the “Contact” clause below; and (b) to you, upon being sent to the e-mail address or contact details registered by you with the Company, or upon being posted on the Website. You are responsible for keeping your registered contact details current and accurate.
